GANDDEE PRO TERMS

Contracting entity: Bluteshi Ltd (trading as “Ganddee”), Silverstream House, 45 Fitzroy Street, 4th Floor, London W1T 6EB, United Kingdom (“Ganddee”, “we”, “us”).

These Terms & Conditions (“Terms”) govern your purchase and use of Ganddee Pro. By clicking "Buy", paying the Fee, or accessing the Pro features, you agree to these Terms.

Definitions

​

  • “Order” or “Order Form” means the written order form signed by you and Ganddee, or the online checkout/receipt (e.g., Stripe confirmation) completed by you, that specifies the Subscription tier, number of Locations, Term, start date, Fees, discounts (if any), and billing details.

  • “PO” or “Purchase Order” means a buyer-issued purchase order document or number used for your internal procurement/billing processes. PO terms (if any) do not apply to this Agreement.

  • “Location” means a single customer-facing retail site with a distinct address open to the public. Each Location requires its own subscription.

  • “Breach” means any material failure to comply with these Terms, an Order, or our UGC/Content policies, including non-payment after the due date, material misrepresentation, or conduct that risks legal liability or platform integrity. Repeated non-material failures may together constitute a material Breach.

1. Who these Terms apply to

​

  • Business use only. Ganddee Pro is a B2B service for second-hand shops (including multi-location brands). You confirm you are acting in the course of business.

  • If you claim or manage a shop profile, you warrant you are authorised to do so.

​

2. The Services

​

During your Subscription Term, and subject to payment of Fees, we provide:

  1. Boosted visibility: priority ranking/placement in relevant searches within your local area (exact position varies and is not guaranteed).

  2. Claim & verify: ability to claim/edit your shop page and display a verified badge.

  3. Events & pop-ups: ability to publish and promote your shop events/pop-ups in the Ganddee map and events section.

  4. Discounts: ability to advertise discounts and offers (one at a time) for your claimed location on the app.

We may make non-material UI/feature changes from time to time. Add-ons (if purchased later) may have separate terms.

3. Eligibility for Ganddee

​

Ganddee is curated for second-hand. If your shop no longer sells second-hand items, we may suspend or cancel Pro (see §10). You must keep shop information accurate and promptly updated.

4. Plans, Fees & Taxes

​

  • UK price: £29 + VAT per month per Location, annual plan only (billed as £29 × 12 per Location, payable upfront).

  • EU price: €33 + applicable VAT per month per Location, annual plan only (€33 × 12 per Location, payable upfront).

  • Volume discounts may apply for multi-Location brands (as shown at checkout or in an Order Form).

  • Taxes: Fees are exclusive of VAT/sales taxes. You’ll provide valid tax info (e.g., EU VAT ID) if requested and handle any reverse-charge or local obligations.

Definition of “Location”. “Location” means a single customer-facing retail site with a distinct address open to the public. Each Location requires its own subscription.

5. Term, Auto-Renewal & Cancellation

​

  • Initial Term: 12 months from payment (“Subscription Term”).

  • Auto-renewal: Renews for successive 12-month periods unless you cancel before the renewal date.

  • Cancel anytime: You may cancel any time via your account or by emailing us. Cancellation stops future renewals but does not refund the current 12-month Term.

  • No free trial. No right of withdrawal applies (B2B).

  • Price changes: Price changes apply only at renewal and will be communicated in advance; they do not affect a paid-up current Term.

6. Payment

​

  • Fees are due in advance via Stripe (or as otherwise agreed in writing).

  • If any amount is unpaid, we may suspend Pro until paid.​

7. Content & Licence

​

  • Your content. You may upload logos, photos, texts, event details and other materials (“Shop Content”). You warrant you own or have licences to all Shop Content and that it does not infringe third-party rights or violate law or our User-Generated Content Policy and Terms of Use (ganddee.com/terms and ganddee.com/ugc-terms).

  • Your licence to us. You grant Ganddee an irrevocable, perpetual, worldwide, non-exclusive, royalty-free licence (with the right to sub-license) to use, host, reproduce, modify, publish, display and distribute Shop Content in connection with Ganddee, including to market and promote Ganddee and your page on or off the platform.

  • Moderation & second-hand policy. Ganddee is a curated directory for second-hand. We may remove, refuse, down-rank or edit (for clarity/format) any Shop Content that is unlawful, infringing, misleading, off-topic or promotes primarily new/non-second-hand goods (e.g., posts or events advertising new items, or dropshipped goods), or otherwise breaches these Terms or our UGC/Content policies. Repeat or serious violations may result in suspension or termination under §10.

8. No endorsement; no performance guarantees

​

  • Listing, verification or boosted placement does not equal endorsement by Ganddee.

  • We do not guarantee any particular search position, traffic, footfall, reviews, conversions or revenue. Results may vary.

​

9. Acceptable use

​

You will not:

(a) post inaccurate or non-second-hand content; (b) upload unlawful or infringing materials; (c) scrape, copy or misuse the platform; (d) interfere with our systems or other users; or (e) attempt to manipulate search/ranking (e.g., fake Locations, fake events, paid or scripted reviews or engagement). We may suspend accounts for any such conduct and/or treat it as a Breach under §10.

10. Suspension, Termination & Breach

​

Definition of “Breach”. “Breach” means any material failure to comply with these Terms, an Order, or our UGC/Content policies, including non-payment after the due date, material misrepresentation, or conduct that risks legal liability or platform integrity. Repeated non-material failures may together constitute a material Breach.

Notice & cure. Except for urgent cases (illegal content, safety/security risk, fraud/spam), we will email a written notice of Breach and allow 14 days to cure. If not cured, we may suspend or terminate.

Immediate action. We may act without notice where required by law or to protect users/platform integrity.

​

Refunds. If we terminate not due to your Breach (e.g., you cease second-hand and we choose to terminate), we will refund on a pro-rata basis for the unused months of the current Term. No refund if termination is for your Breach.

11. Data protection & notices

​

  • We process personal data in accordance with our Privacy Policy: ganddee.com/privacy.

  • You must provide and maintain an actively monitored email address to receive notices (e.g., content reports, reviews, safety issues, account matters).

  • To the extent you provide staff contact details to us, both parties act as independent controllers and will comply with applicable data-protection law.

12. Intellectual property

​

Ganddee, the app, sites, software and branding are owned by us or our licensors. Except for the limited rights granted here, no IP rights are transferred to you.

​

13. Warranties, service availability & limitation of liability

​

  • You warrant you have authority to enter this contract and that your Shop Content and activities comply with law.

  • Service availability. From time to time the Service may be unavailable due to maintenance or factors outside our control; we use reasonable skill and care but provide no uptime guarantee for Pro, and downtime does not entitle you to discounts or refunds.

  • We provide Pro “as is” and disclaim all warranties to the maximum extent permitted by law.

  • Limitation: To the fullest extent permitted, our total liability arising out of or related to Pro is limited to the Fees you paid for the then-current 12-month Term. We will not be liable for indirect, consequential or lost-profit damages. Nothing limits liability for fraud, death or personal injury caused by negligence, or other liability that cannot be limited by law.

14. Indemnity

​

You will indemnify and hold Ganddee harmless against claims, losses, costs and liabilities arising from: (a) your Shop Content; (b) your breach of these Terms; or (c) your misuse of Pro.

​

15. Changes to Terms or Pricing

​

We may update these Terms or Fees for future Terms. We will notify you (e.g., email or in-product) before renewal. Continued use after the effective date of changes constitutes acceptance.

16. Transfer

​

You may not assign or transfer this subscription without our prior written consent (not to be unreasonably withheld). We may assign to an affiliate or in connection with a merger/acquisition.

​

17. Governing law & jurisdiction

​

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.

​

18. Entire agreement; precedence

​

These Terms (together with any Order / Order Form and the policies referenced above) form the entire agreement for Pro. If there is any conflict between an Order and these Terms on commercial details (price, term, quantity, Locations), the Order prevails. Any PO or other customer procurement terms do not apply and are expressly rejected, except that Ganddee may reference a PO number on invoices for your convenience.
