GANDDEE PRO TERMS
Contracting entity: Bluteshi Ltd (trading as "Ganddee"), Silverstream House, 45 Fitzroy Street, 4th Floor, London W1T 6EB, United Kingdom ("Ganddee", "we", "us").

These Terms & Conditions ("Terms") govern your purchase and use of any Ganddee Pro plan and any Boost Credit Top-Up. By clicking "Buy", paying the applicable Fee, or accessing Pro features, you agree to these Terms.
Definitions
"Account" means the business account you create and maintain on Ganddee, through which you manage one or more Locations and access Ganddee Pro features. A Ganddee Pro subscription is held at the Account level.
"Active Pro Listing" means a Location that has been designated under your Account's Plan Tier to receive Pro features (such as page customisation, extended media, website and social-media display, and a link to your Account profile). The maximum number of Active Pro Listings available to you is determined by your Plan Tier.
"Boost Credit Allowance" means the number of Boost Credits included with your Plan Tier each calendar month (or, if your Subscription Term begins mid-month, each monthly billing period as determined by your start date).
"Boost Credit Top-Up" means an optional, separate purchase of Boost Credits by a Ganddee Pro subscriber, in addition to any Boost Credit Allowance included in their Plan Tier.
"Boost Credits" means the platform resource used to run advertising Campaigns for your Locations on Ganddee. Boost Credits may be obtained through your Plan Tier's monthly Boost Credit Allowance or through a Boost Credit Top-Up.
"Breach" means any material failure to comply with these Terms, an Order, or our UGC/Content policies, including non-payment after the due date, material misrepresentation, or conduct that risks legal liability or platform integrity. Repeated non-material failures may together constitute a material Breach.
"Campaign" means a paid advertising placement consuming Boost Credits that boosts the visibility and/or ranking of a Location within the Ganddee app for a defined period and geographic radius, subject to the Campaign Parameters in effect at the time the Campaign is created.
"Campaign Parameters" means the credit cost per day per Location, the default geographic boost radius, any tiered radius or ranking options, and any other variables that define how Boost Credits are consumed by a Campaign, as published by Ganddee from time to time.
"Fees" means all amounts payable by you under these Terms, including Plan Tier subscription fees and any Boost Credit Top-Up fees.
"Location" means a single customer-facing retail site or event venue with a distinct address listed on Ganddee.
"Order" or "Order Form" means the written order form signed by you and Ganddee, or the online checkout/receipt (e.g., Stripe confirmation) completed by you, that specifies the Plan Tier, number of Active Pro Listings, Term, start date, Fees (including any Boost Credit Top-Up Fees), discounts (if any), and billing details.
"Plan Tier" means the specific Ganddee Pro subscription level selected by you at checkout or in an Order Form (e.g., a tier that includes a defined number of Active Pro Listings, a monthly Boost Credit Allowance, and a feature set), as described on our pricing page or in the applicable Order.
"PO" or "Purchase Order" means a buyer-issued purchase order document or number used for your internal procurement/billing processes. PO terms (if any) do not apply to this Agreement.
"Subscription Term" means the initial 12-month period beginning on the date of payment and each successive 12-month renewal period thereafter.
"Your Content" means logos, photos, texts, event details, and other materials you upload or submit to Ganddee in connection with your Account or Locations.
1. Who these Terms apply to
Business use only. Ganddee Pro is a B2B service for second-hand retailers (shops and event organisers). You confirm you are acting in the course of business. If you claim or manage a shop profile, you warrant you are authorised to do so.
2. The Services
During your Subscription Term, and subject to payment of Fees, we provide the following at the Account level (the scope of each feature may vary by Plan Tier as described on our pricing page or in the applicable Order):
(a) Account verification: your Account is verified and displays a verified badge on your Account profile page within the Ganddee app.
(b) Claim & edit: ability to claim and edit your Location pages on Ganddee.
(c) Pro listing features: for each Active Pro Listing, enhanced page functionality including (as available under your Plan Tier) extended descriptions, additional display images, display of website and social-media links on the Location page, and a link from the Location page to your verified Account profile.
(d) Boosted visibility: priority ranking and/or placement in relevant searches within your local area (exact position varies and is not guaranteed), the extent of which depends on your Plan Tier and any active Campaigns.
(e) Boost Credits: a monthly Boost Credit Allowance as specified by your Plan Tier, credited to your Account and usable to run Campaigns for any of your Locations (see §4A).
(f) Events & pop-ups: ability to publish and promote your events and pop-ups in the Ganddee map and events section.
(g) Discounts: ability to advertise discounts and offers for your Location(s) on the app, subject to any limits specified by your Plan Tier.
We may make non-material UI or feature changes from time to time. Add-ons (if purchased later) may have separate terms.
3. Eligibility for Ganddee
Ganddee is curated for second-hand. If your shop or event no longer relates to second-hand items, we may suspend or cancel Pro (see §10). You must keep shop and event information accurate and promptly updated.
4. Plans, Fees & Taxes
Plan Tiers and pricing are as displayed on our pricing page at the time of purchase or as specified in the applicable Order Form. All plans are billed annually (12-month Term, payable upfront) unless otherwise agreed in writing.
Volume discounts may apply for multi-location brands (as shown at checkout or in an Order Form).
The number of Locations that receive Pro features under your Account is limited by the number of Active Pro Listings included in your Plan Tier.
Taxes: Fees are exclusive of VAT and any applicable sales taxes. You will provide valid tax information (e.g., EU VAT ID) if requested and handle any reverse-charge or local tax obligations.
4A. Boost Credits
Account-level resource. Boost Credits are held at the Account level. You may use your available Boost Credits to create Campaigns for any Location listed under your Account, regardless of whether that Location is designated as an Active Pro Listing.
Credit consumption order. When your Account holds both Allowance credits and Top-Up credits, Allowance credits are consumed first. Where your Account holds Top-Up credits from more than one purchase, the oldest Top-Up credits (by date of purchase) are consumed first.
Monthly Boost Credit Allowance. Each Plan Tier includes a specified number of Boost Credits per month (the "Boost Credit Allowance"). The Boost Credit Allowance resets at the beginning of each monthly billing period. Unused Allowance credits from any monthly billing period do not roll over, carry forward, or accrue into any subsequent period. At the start of each new monthly billing period, the Allowance portion of your available Boost Credit balance reverts to the full Boost Credit Allowance for your Plan Tier, regardless of how many Allowance credits were or were not used in the prior period. There is no refund, compensation, or credit for unused Allowance credits.
Boost Credit Top-Ups. Ganddee Pro subscribers may purchase additional Boost Credits as Boost Credit Top-Ups at the prices published on our pricing page or as agreed in an Order Form. Top-Up credits are added to your Account's available balance upon payment and may be used to run Campaigns in the same manner as Allowance credits. Top-Up credits are purchased in addition to (and are separate from) any Boost Credit Allowance included in your Plan Tier; purchasing a Top-Up does not affect your Allowance or its monthly reset.
Top-Up credit expiry. Boost Credit Top-Up credits remain available in your Account until used or until they expire, whichever is earlier. Unless a different expiry period is stated at the time of purchase or in an Order Form, Top-Up credits expire 24 months from the date of purchase. Expired Top-Up credits are forfeited and cannot be recovered, refunded, or reinstated.
Non-refundable and non-transferable. Boost Credits (whether from your Allowance or a Top-Up) are non-refundable. Boost Credits cannot be transferred between Accounts or to third parties. Boost Credits have no cash value and are not redeemable for cash.
Campaign creation and commitment. Once a Campaign is created, it cannot be modified, paused, or cancelled. Boost Credits committed to a Campaign at the time of creation are immediately deducted from your available balance and are not refundable, regardless of whether the Campaign runs to completion.
Campaign Parameters and credit costs. Campaigns currently start from 5 Boost Credits per day per Location, which at present provides boosted visibility within an approximate 3-mile (5-kilometre) radius around the Location. You may allocate additional Boost Credits per day to a Campaign in order to achieve higher ranking within the default radius and/or to extend the geographic radius in which your Location appears with boosted visibility. The specific options, credit costs, radius tiers, and ranking effects available at any given time are defined by the Campaign Parameters then in effect.
As an indication only and not a commitment: at launch, 50 Boost Credits could boost one Location for approximately 10 days at the base Campaign rate. This example is illustrative and subject to change.
Changes to Boost Credit pricing and Campaign Parameters. We reserve the right to change Boost Credit Top-Up prices and Campaign Parameters (including the credit cost per day per Location, geographic radius tiers, ranking effects, and any other campaign variables) at any time. Changes to Top-Up prices take effect for purchases made after the change is published. Changes to Campaign Parameters take effect for Campaigns created after the change is published and do not alter Campaigns already running at the time of the change. We will use reasonable efforts to provide advance notice of material changes (e.g., via email or in-product notification), but changes may also be reflected on our pricing page or within the Campaign creation interface.
5. Term, Auto-Renewal & Cancellation
Initial Term: 12 months from payment.
Auto-renewal: Renews for successive 12-month periods unless you cancel before the renewal date.
Cancel anytime: You may cancel any time via your account or by emailing us. Cancellation stops future renewals but does not refund the current Subscription Term. Upon cancellation or expiry, any unused Allowance credits are forfeited immediately. Unused Top-Up credits remain available until they expire in accordance with §4A but no new Campaigns may be created after the Subscription Term ends. Any Campaigns already running at the time of cancellation or expiry will continue until their scheduled end date; Boost Credits already committed to those Campaigns are not refunded.
No free trial. No right of withdrawal applies (B2B).
Price changes: Changes to Plan Tier Fees apply only at renewal and will be communicated in advance; they do not affect a paid-up current Term. Changes to Boost Credit Top-Up prices and Campaign Parameters may take effect at any time as described in §4A.
6. Payment
Fees are due in advance via Stripe (or as otherwise agreed in writing). Boost Credit Top-Up Fees are due at the time of purchase. If any amount is unpaid, we may suspend access to Pro features and prevent the creation of new Campaigns until paid. Any Campaigns already running at the time of suspension will continue until their scheduled end date; Boost Credits already committed to those Campaigns are not refunded or credited back. The monthly Boost Credit Allowance does not accrue or reset during any period of suspension.
7. Content & Licence
Your content. You may upload Your Content to your Location pages and Account profile. You warrant you own or have licences to all Your Content and that it does not infringe third-party rights or violate law or our User-Generated Content Policy and Terms of Use (ganddee.com/terms and ganddee.com/ugc-terms).
Your licence to us. You grant Ganddee an irrevocable, perpetual, worldwide, non-exclusive, royalty-free licence (with the right to sub-license) to use, host, reproduce, modify, publish, display and distribute Your Content in connection with Ganddee, including to market and promote Ganddee and your page on or off the platform.
Moderation & second-hand policy. Ganddee is a curated directory for second-hand. We may remove, refuse, down-rank or edit (for clarity/format) any of Your Content that is unlawful, infringing, misleading, off-topic or promotes primarily new/non-second-hand goods (e.g., posts or events advertising new items, or dropshipped goods), or otherwise breaches these Terms or our UGC/Content policies. Repeat or serious violations may result in suspension or termination under §10.
8. No endorsement; no performance guarantees
Listing, verification or boosted placement does not equal endorsement by Ganddee. We do not guarantee any particular search position, traffic, footfall, reviews, conversions or revenue. Results may vary. The purchase of Boost Credits or the running of Campaigns does not guarantee any specific level of visibility, impressions, clicks, or customer engagement.
9. Acceptable use
You will not: (a) post inaccurate or non-second-hand content; (b) upload unlawful or infringing materials; (c) scrape, copy or misuse the platform; (d) interfere with our systems or other users; or (e) attempt to manipulate search/ranking (e.g., fake Locations, fake events, paid or scripted reviews or engagement, or any attempt to game or circumvent the Boost Credit or Campaign system). We may suspend accounts for any such conduct and/or treat it as a Breach under §10.
10. Suspension, Termination & Breach
Notice & cure: Except for urgent cases (illegal content, safety/security risk, fraud/spam), we will email a written notice of Breach and allow 14 days to cure. The cure period begins on the date the notice is deemed received under §11. If not cured, we may suspend or terminate.
Immediate action: We may act without notice where required by law or to protect users/platform integrity.
Refunds: If we terminate not due to your Breach (e.g., you cease second-hand and we choose to terminate), we will refund the subscription Fee on a pro-rata basis for the unused months of the current Term. No refund if termination is for your Breach. In all cases, unused Boost Credits (whether Allowance or Top-Up) are forfeited upon termination and are not refundable. Any Campaigns already running at the time of termination will continue until their scheduled end date; Boost Credits already committed to those Campaigns are not refunded.
11. Data protection & notices
We process personal data in accordance with our Privacy Policy: ganddee.com/privacy. You must provide and maintain an actively monitored email address to receive notices (e.g., content reports, reviews, safety issues, account matters, and changes to Campaign Parameters or Boost Credit pricing). A notice sent by us to your registered email address is deemed received 24 hours after sending. To the extent you provide staff contact details to us, both parties act as independent controllers and will comply with applicable data-protection law.
12. Intellectual property
Ganddee, the app, sites, software and branding are owned by us or our licensors. Except for the limited rights granted here, no IP rights are transferred to you.
13. Warranties, service availability & limitation of liability
You warrant you have authority to enter this contract and that Your Content and activities comply with law.
Service availability: From time to time the Service may be unavailable due to maintenance or factors outside our control; we use reasonable skill and care but provide no uptime guarantee for Pro, and downtime does not entitle you to discounts or refunds. If the Service is unavailable, active Campaigns may not deliver during the period of unavailability; no Boost Credits will be refunded or credited for such periods.
We provide Pro "as is" and disclaim all warranties to the maximum extent permitted by law.
Limitation: To the fullest extent permitted, our total liability arising out of or related to Pro (including Boost Credits and Campaigns) is limited to the Fees you paid for the then-current 12-month Term (including any Boost Credit Top-Up Fees paid during that Term). We will not be liable for indirect, consequential or lost-profit damages. Nothing limits liability for fraud, death or personal injury caused by negligence, or other liability that cannot be limited by law.
14. Indemnity
You will indemnify and hold Ganddee harmless against claims, losses, costs and liabilities arising from: (a) Your Content; (b) your breach of these Terms; or (c) your misuse of Pro (including Boost Credits and Campaigns).
15. Changes to Terms or Pricing
We may update these Terms or Plan Tier Fees for future Terms. We will notify you (e.g., email or in-product) before renewal. Continued use after the effective date of changes constitutes acceptance. Changes to Boost Credit Top-Up prices and Campaign Parameters are governed by §4A.
16. Transfer
You may not assign or transfer this subscription without our prior written consent (not to be unreasonably withheld). We may assign to an affiliate or in connection with a merger/acquisition.
17. Governing law & jurisdiction
These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
18. Entire agreement; precedence
These Terms (together with any Order/Order Form and the policies referenced above) form the entire agreement for Pro. If there is any conflict between an Order and these Terms on commercial details (price, term, quantity, Active Pro Listings, Plan Tier, or Boost Credit Top-Up quantities), the Order prevails. Any PO or other customer procurement terms do not apply and are expressly rejected, except that Ganddee may reference a PO number on invoices for your convenience.
19. General
Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall continue in full force and effect.
Waiver: A failure or delay by either party to exercise any right or remedy under these Terms does not constitute a waiver of that right or remedy, nor does it prevent or restrict any further exercise of that or any other right or remedy.
Third-party rights: No person other than a party to these Terms has any right to enforce any of these Terms under the Contracts (Rights of Third Parties) Act 1999.
